General conditions of online sale

These terms and conditions of sale are entered into by C2MC, owner of the CLINERIENCE SARL brand with capital of 15,000 euros, whose registered office is located at 29, avenue Grande Bretagne - 98000 MONACO, registered with the RCI under number 11 S 05575, hereinafter referred to as C2MC, and by any individual or legal entity wishing to make a purchase via the C2MC website, hereinafter referred to as the "buyer".

Purpose

The purpose of these terms and conditions of sale is to define the contractual relationship between C2MC and the purchaser, and the conditions applicable to all purchases made through C2MC's merchant site, whether the purchaser is a professional or a consumer.

The acquisition of a good or service through this site implies unreserved acceptance by the buyer of these conditions of sale.

These conditions of sale shall prevail over any other general or special conditions not expressly approved by C2MC.

C2MC reserves the right to modify its conditions of sale at any time. In this case, the applicable conditions will be those in effect at the date of the buyer's order.

Characteristics of goods and services offered

The products and services offered are those listed in the catalog published on the C2MC website.

These products and services are offered while stocks last.

Each product is accompanied by a description drawn up by the supplier; for certain products marked DF, the purchaser can access the supplier's documentation.

The photographs in the catalog are as accurate as possible, but cannot guarantee perfect similarity with the product offered, particularly with regard to colors and graphics.

Prices

The prices shown in the catalog are inclusive of VAT in euros, applicable on the day of the order in the country of our head office; any change in the rate may be passed on to the price of the products or services.

C2MC reserves the right to modify its prices at any time, it being understood, however, that the price appearing in the catalog on the day of the order will be the only price applicable to the purchaser.

The prices indicated include the cost of processing orders, but do not include transport and delivery, provided that they take place in the geographical areas specified below.

Geographical area

The online sale of products and services presented in the site is reserved for buyers residing in France and for deliveries required in these geographical areas or in the euro zone.

Online sales in Belgium and Luxembourg are handled by our Belgian distributor.

Orders

Buyers wishing to purchase a product or service must :

- Fill in the identification form with all requested contact details, or provide their customer number if they have one.

- Fill in the online order form, giving all the references of the products or services chosen.

- Confirm the order after checking it.

- Make payment in accordance with the terms and conditions.

- Confirm your order and payment.

Confirmation of the order implies acceptance of these terms and conditions of sale, acknowledgement of full knowledge thereof, and waiver of the right to invoke its own terms and conditions of purchase or any other terms and conditions.

All data supplied and the recorded confirmation shall be deemed proof of the transaction. Confirmation shall constitute signature and acceptance of the operations carried out.

The seller will send confirmation of the registered order by e-mail.

Withdrawal

Purchasers, non-professional individuals, benefit from a withdrawal period of seven days from delivery of their order to return the product in its original condition to the seller for exchange or reimbursement without penalty, with the exception of return costs.

Terms of payment

Payment is due at the time of ordering.Payments will be made by credit card, using the secure PAYPAL system or any other secure payment method that uses SSL (Secure Socket Layer) protocol, so that information transmitted is encrypted by software and cannot be read by any third party during transport over the network. The purchaser's account will only be debited when the available products or services are dispatched, and only for the amount of the products or services sent or downloaded.At the purchaser's request, a paper invoice will be sent, showing VAT. 

Deliveries

Deliveries are made to the address indicated on the order form, which can only be within the agreed geographical area.The risks are borne by the purchaser from the moment the products leave C2MC's premises.

In the event of damage in transit, a justified protest must be made to the carrier within three days of delivery. Delivery times are given as an indication only; if they exceed thirty days from the date of order, the sales contract may be cancelled and the purchaser reimbursed.

Warranty

The customer must ensure that the products delivered conform to the order as soon as they are received.In the event of non-conformity, the Customer must inform C2MC at the following address: C2MC - Service Clients - 29 avenue Grande Bretagne, 98000 MONACO, by registered letter with acknowledgement of receipt within 30 days of receipt of the product(s) concerned.After expert appraisal, the seller may either replace the product(s) with another of the same kind, or reimburse the buyer.

Responsibility

The seller, in the online sales process, is bound only by an obligation of means; it cannot be held liable for any damage resulting from the use of the Internet network, such as loss of data, intrusion, virus, interruption of service, or other involuntary problems.

Intellectual property rights

All elements of the CLINERIENCE site are and remain the exclusive intellectual property of C2MC.No one is authorized to reproduce, exploit, rebroadcast, or use for any purpose whatsoever, even partially, any elements of the site, whether software, visual or audio.Any simple link or hypertext link is strictly forbidden without the express written consent of C2MC.

Personal data

The information requested from customers when registering their details on the Site is necessary for C2MC to process their order. 

The information provided by the Customer on the Site in connection with his/her order and on any other document exchanged in connection with the application of these General Terms and Conditions may be subject to automated processing for administrative and commercial management purposes.The customer has the right to access, rectify and delete data concerning him/her, which may be exercised by sending a written request to C2MC at the following company address: SARL C2MC Service Clients - 29 Av Grande Bretagne, 98000 Monaco. 

Customers may also initiate changes to their personal information in the "My Account" section of the Site, which is reserved for them. 

Archiving - Proof

C2MC will archive order forms and invoices on a reliable and durable medium constituting a true copy.C2MC's computerized records will be considered by the parties as proof of communications, orders, payments and transactions between the parties.

Dispute resolution

These terms and conditions are governed by Monegasque law.Any dispute arising from the interpretation and/or execution of the said terms and conditions shall be settled amicably between the parties. In the absence of an amicable agreement, the dispute will be referred by the most diligent Party to the competent legal jurisdiction.

1- The Courts of the Company's registered office shall have exclusive jurisdiction in the event of any dispute of any nature whatsoever or any dispute relating to the formation or performance of the order.

2- The Company's acceptances of payment do not affect or derogate from this attribution of jurisdiction.

3- No clause to the contrary by the Buyer may derogate from this clause.
